1. Acceptance of Terms
By accessing or using Spanora ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Your continued use of the Service constitutes acceptance of any updates or modifications to these terms.
2. Description of Service
Spanora helps you understand what your AI agents do, why they make decisions, and what it costs. The Service receives traces and spans via OTLP HTTP and provides a web-based interface for debugging agent behavior, tracking costs per user, and analyzing LLM calls, tool calls, prompts, outputs, and token usage.
3. User Accounts
To use the Service, you must create an account using a valid email address. Authentication is handled via magic link email. You are responsible for:
- Maintaining the security of your email account
- All activity that occurs under your account
- Not sharing your account credentials or magic link access with others
4. Telemetry Data and User Responsibilities
Spanora receives telemetry data (traces and spans) that you send via the OTLP protocol. This data may include prompts, LLM outputs, tool call details, model names, token counts, cost data, agent names, and session or user identifiers.
You acknowledge and agree that:
- You are solely responsible for the content of all data you send to Spanora
- You must not send personally identifiable information (PII), protected health information, financial data, or other regulated data unless you accept full responsibility for doing so
- You are responsible for redacting or anonymizing sensitive information — including prompts, outputs, and user identifiers — before sending data to Spanora
- Spanora does not perform automatic redaction, PII detection, or data masking
- Spanora is not liable for any PII, confidential, or sensitive data that you include in your telemetry
- You represent that you have the necessary rights and consents to send the telemetry data you provide
5. Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Attempt to reverse engineer, decompile, or disassemble any part of the Service
- Circumvent or attempt to circumvent any security measures of the Service
- Abuse, disrupt, or place an unreasonable load on the Service infrastructure
- Use the Service to transmit malicious code, malware, or harmful data
- Resell or redistribute the Service without prior written consent
6. Intellectual Property
The Spanora platform, including its software, design, branding, and documentation, is the intellectual property of Spanora. You retain full ownership of all telemetry data you send to the Service. Spanora does not claim any ownership rights over your data.
7. Privacy and Data
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.
8. Platform Availability
Spanora strives to maintain high availability but does not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We are not liable for any downtime, data loss, or service interruptions.
9. Paid Services and Refund Policy
Spanora may offer paid subscription plans. All payments are final and non-refundable unless otherwise required by law. Spanora does not guarantee specific outcomes or results from using the Service. Subscription fees are billed in advance and are non-refundable for partial billing periods.
10. Disclaimers and Limitations of Liability
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. Spanora disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Spanora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service. Spanora is not responsible for the content of any telemetry data you send to the Service, including any sensitive, confidential, or regulated information contained therein.
11. Termination
Either party may terminate the use of the Service at any time. You may delete your account at any time. Spanora reserves the right to suspend or terminate your account if you violate these terms. Upon termination, your right to access the Service ceases immediately. We may retain or delete your telemetry data in accordance with our data retention policies.
12. Indemnification
You agree to indemnify, defend, and hold harmless Spanora and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your telemetry data, your violation of these terms, or your violation of any rights of a third party.
13. Governing Law and Disputes
These terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms or your use of the Service shall be resolved through binding arbitration on an individual basis.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Spanora.
14. Changes to Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance of the revised terms.
15. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
